License Agreement

Introduction

This License Agreement ("Agreement") governs the use of musical content, beats, and related materials ("Content") purchased or licensed through the Youth Music HQ Private Limited (operating as Beatswap) platform. By purchasing or licensing Content, you agree to be bound by the terms of this Agreement.

This Agreement works in conjunction with our Terms of Service and Beatswap Marketplace Code of Conduct. Violations of this Agreement may result in account suspension or termination.

License Types

Permitted Uses

Prohibited Uses

The following uses are strictly prohibited and may result in immediate license termination and legal action:

• Reselling, redistributing, or transferring the Content to third parties
• Creating derivative works without explicit permission
• Using Content in pornographic, defamatory, or illegal materials
• Claiming ownership or authorship of the Content
• Using Content in violation of our Code of Conduct
• Sharing Content with unauthorized users
• Using Content in AI training or machine learning systems

Attribution Requirements

All uses of licensed Content must include proper attribution to the original producer. The specific attribution format will be provided with your license purchase.

License Duration and Territory

Royalties and Revenue Sharing

The terms of royalties and revenue sharing vary by license type and producer agreement:

• Basic License: No royalties owed to producer
• Premium License: No royalties owed to producer
• Exclusive License: May include royalty sharing terms (varies by producer)
• Publishing Rights: May be included in exclusive licenses

License Transfer and Assignment

Licenses are non-transferable and non-assignable unless explicitly stated in the license terms. You may not sell, transfer, or assign your rights under this Agreement to any third party.

Termination

This license may be terminated under the following circumstances:

• Violation of any terms of this Agreement
• Violation of our Terms of Service or Code of Conduct
• Failure to provide proper attribution
• Unauthorized use or distribution of Content
• Legal action by copyright holders

Upon termination, you must immediately cease all use of the Content and destroy any copies in your possession.

Dispute Resolution

Any disputes arising from this Agreement will be resolved through our internal dispute resolution process. If resolution cannot be reached, disputes may be subject to binding arbitration in accordance with our Terms of Service.

Governing Law

This Agreement is governed by the laws of India and is subject to our Terms of Service and Beatswap Marketplace Code of Conduct.
